Terms of service

A clear agreement before work begins.

These terms describe Tokyo studio services and remote production. A written project quote identifies the actual scope and price.

1. Contract and scope

The operator is 合同会社valvularcloudco. A booking is confirmed after acceptance of a written quote and receipt of the 30% deposit. Quotes are valid for 30 days unless stated otherwise. A project quote can refine the scope; it cannot remove mandatory consumer rights. Under-18 bookings require a guardian’s agreement and payment.

2. Prices and payment

Payment is by bank transfer only. The quoted currency is JPY unless a different currency is expressly agreed. Published on-site reference rates include Japan’s 10% consumption tax; cross-border taxes and the final total are confirmed in the quote. Additional work requires approval. Extra studio time is billed in 30-minute steps if agreed.

The balance is due on the session day or before final delivery. Approved business clients may pay within 30 days of the invoice date. Bank or currency conversion charges must be considered before acceptance; the studio does not collect card details.

3. Changes, cancellation and withdrawal

Under the studio’s booking policy, cancellation received at least 7 days before a session is free. Later cancellation or a no-show may forfeit the deposit, subject to applicable law. If the studio cancels, it offers another date or refunds the affected service.

Where mandatory distance-selling withdrawal rights apply, they remain available. If early performance is requested during an applicable withdrawal period, the request and any required consent or acknowledgement must be obtained separately before work starts. A general booking checkbox does not waive statutory rights.

4. Sessions and delivery

Studio sessions take place in Tokyo at the agreed time. Follow staff safety instructions and treat equipment carefully. Delivery formats, deadlines and any dependencies on client material appear in the quote. Incomplete files or delayed approvals can require an agreed schedule change. Artistic, chart or commercial results are not guaranteed.

5. Revisions and project archive

Mixing and mastering include up to 2 consolidated revision rounds unless the quote states otherwise. A round is one organised feedback list. New arrangements, extra songs or additional versions are re-quoted. Project files are retained for 12 months after final delivery or the last session, then deleted. Keep independent backups.

6. Rights and permissions

You retain rights in the songs, scripts, samples and performances you supply and must clear third-party permissions. After full payment, you receive a non-exclusive licence to use deliverables within the agreed quote. Any broader transfer must be expressly agreed. The studio does not publish your material for promotion without written permission.

7. Personal data and client audio

The privacy policy applies to enquiries, bookings and production. The data-processing terms cover recordings of third parties supplied on your instructions. Client audio is not used to train, test or improve AI models. Voice cloning requires a separate explicit written agreement with the relevant person.

8. Faults, liability and applicable law

Report technical delivery faults promptly; the studio will arrange a reasonable correction or re-delivery. The contractual liability cap is the amount paid for the affected contract, excluding indirect loss, except for wilful misconduct, gross negligence or rights that cannot lawfully be limited.

The terms specify Japanese law and the Tokyo District Court. These provisions do not override mandatory consumer protection or jurisdiction rights that apply to a customer. Updated terms apply to new bookings; confirmed projects keep their agreed version. Contact the studio if any language version is unclear.
